| 1. | Intersafety Industrial Supply Conditions Apply |
| Unless otherwise stated in writing by Intersafety Industrial Protection (“Intersafety”), all quotations and contracts from Intersafety the supplier are subject to the following Conditions of Sale. At all times, these conditions override any terms and conditions enquiries made by the purchaser of our goods. Delivery of any goods following a quotation for supply will be made only upon Intersafety Conditions. Orders are accepted with the understanding of the Intersafety Conditions of Sale. | |
| 2. | Payment Terms |
| Unless specifically agreed otherwise, terms of
payment are strictly 30 (thirty) days following date
of invoice. If these terms are not met Intersafety
are entitled to terminate any outstanding order or
quotation without prior notice to the purchaser.
Furthermore, Intersafety can withhold, and or suspend
supplies; reduce the purchaser’s credit limit,
regardless of any contract the purchaser may have
with any third party. With discretion, Intersafety is entitled to receive payment for any goods supplied by them whether this payment is due on that particular date. Intersafety shall be entitled to charge the purchaser interest on overdue accounts at the rate of 3% above HSBC base rate until payment is made in full. The purchaser will reimburse Intersafety for all costs incurred by Intersafety in recovering payment, including the cost of instructing Solicitors. In the event of payment by cheque being returned by the purchaser’s bank unpaid, the purchaser will reimburse Intersafety for any resulting bank charges incurred by Intersafety. |

| 3. | Retention of Title |
| Risk in the goods supplied passes to the purchaser on delivery; however, legal title on such goods does not pass to the purchaser until Intersafety has received full price payable for such goods. This equally applies to all other goods supplied by Intersafety to the purchaser for which payment is due. Until legal title passes, the purchaser shall hold the goods as Intersafety’s fiduciary agent and bailee and shall keep them properly stored, protected, insured and identified as Intersafety’s property. Until that time the purchaser is entitled to resell or use the goods in the normal course of business. It shall account to Intersafety for their proceeds of sale and pending payment, and will hold such proceeds on trust for Intersafety. The purchaser’s right to resell or use the goods shall terminate automatically if a liquidator or (administrative) receiver or administrator of the purchaser is appointed or an order is made or a resolution passed to the winding up of the purchaser. Until such time as legal title in the goods passes to the purchaser Intersafety may at any time require the purchaser, its liquidator, (administrative) receiver or administrator to return the goods and/or may repossess the goods by entering upon any premises of the purchaser of any third party where the goods are reasonably believed to be stored. In addition and without prejudice to any other right or remedy available to Intersafety, if the purchaser is in breach of the payment terms or of any of its obligations under this clause, Intersafety shall be entitled to cancel the contract, suspend further deliveries, terminate any outstanding order of quotation without incurring any liability whatsoever as a consequence of this action. | |
| 4. | Liability |
| The following terms apply except in the case of death
or personal injury caused by Intersafety’s negligence: (i) Risk in the goods to the purchaser on delivery and Intersafety shall not be liable for any loss of, damage to, or deterioration of the goods caused in transit. Also the purchaser will keep Intersafety fully indemnified against all loss and/or liability arising from such loss, damage, or deterioration. (ii) If loss, damage or deterioration (other than for death or persona injury) is caused by Intersafety’s negligence, Intersafety shall only be liable for the invoice value of the goods. (iii) All conditions and warranties as to the quality and fitness for any particular purpose of the goods supplied (whether statutory or otherwise) are expressly excluded but (without prejudice to such exclusion) every care will be taken to ensure that goods supplied will conform to Intersafety’s standards or to specification (within the limits of reasonable commercial accuracy/tolerance) and if Intersafety recognises that goods supplied to not conform to to its standards or to specification Intersafety will firstly assess the value of any allowance or replacement which it may agree to make, take into consideration the extent/nature of the defect, the use already made of the goods and any other relevant factor, but Intersafety’s maximum liability will always be limited to the invoice value of the goods. (iv) Intersafety accepts no liability for consequential loss or damage to property, with is attributed to the failure of goods supplied (whether or not Intersafety is the manufacturer of the goods), whether due to accident, abuse, incorrect technical assessment by Intersafety or its employees/representatives or for any other reason. |

| 5. | Prices |
| (1) All prices found in our literature, both printed
and online (once published / created, are subject to VAT where applicable. Prices are correct at time of publishing while online will have more up-to-date alterations and these prices are subject to change without prior notice. The price charged to the customer will be the prevailing price at the time of ordering (2) There is no minimum order value or quantity. |

| 6. | Delivery |
| Terms and conditions are only applicable in the
UK. For confirmation / clarification please contact
our Sales Office. Intersafety will endeavour to meet any delivery date quoted but delivery dates are given and intended as a guide only and if there are any circumstances whatsoever which prevent or delay delivery, Intersafety shall not be bound to supply or make delivery of any goods ordered nor shall it be liable for any damage or consequential loss. Carriage charges (where applicable) will be stated on invoice. Claims for shortages or damaged goods must be made in writing to Intersafety within 3 days of receipt. Claims for non-delivery must be made in writing to Intersafety within 10 days of date of dispatch shown on invoice. |

| Intersafety has made every effort to ensure that details and information provded in literature and quotations both printed and on-line are accurate at the time of publication. However, full technical specifications are not included. Furthermore, InterSafety policy is one of continuous improvement and the right is reserved to alter information and details as the need arises. Consequently, the customer should check any details and information they wish to rely on with Intersafety at the time of purchase.
